Every US LLC is legally required to have a registered agent. Here's exactly what that means, why it's non-negotiable, what happens if you skip it, and how non-residents handle it.
A registered agent (sometimes called a "statutory agent" or "resident agent" depending on the state) is a person or company designated to receive official legal and government documents on behalf of your LLC. This includes service of process (legal papers if your business is sued), state correspondence like annual report reminders, tax notices, and any compliance communications from the Secretary of State.
The requirement exists so that courts, state agencies, and the public always have a reliable, physical way to reach a business that's legally operating in that state — even if the business itself operates entirely online or from another country.
The registered agent must have a physical street address (not a P.O. Box) in the state where your LLC is formed, and must be available at that address during normal business hours to accept documents in person. This is the part that makes it impossible for most non-residents to act as their own registered agent.
This isn't optional or a service add-on you can skip — it's a legal requirement in all 50 states, written into each state's LLC statute. Your Articles of Organization filing will be rejected if you don't list a registered agent with a valid in-state address.
For a US resident, this requirement is sometimes easy to satisfy — if they live in the state of formation and are regularly available during business hours, they can list themselves. For a non-US resident, this is essentially never possible: you'd need a physical street address in, say, Wyoming or Delaware, and be physically present there during business hours to receive documents. Since that's not realistic, every non-resident LLC owner needs a professional registered agent service.
Beyond the legal requirement, there's a practical privacy benefit too: the registered agent's address is what appears in the public record, not your home address. This keeps your personal location private while still satisfying the state's requirement for a reachable point of contact.
If your LLC doesn't maintain a registered agent — either because you never appointed one, or because your registered agent service was cancelled (for non-payment, for example) and you didn't replace it — the consequences escalate over time:
The most common way non-residents end up without a registered agent isn't choosing to skip it — it's forgetting to renew an annual registered agent subscription, or using a service that doesn't clearly notify them before lapsing. Because the consequences (missed notices, dissolution) happen silently from your perspective, this is one of the easiest compliance items to lose track of. A bundled, auto-renewing service avoids this entirely.
In practice, registered agent service is passive almost all of the time — most months, nothing happens. When something does arrive at your registered agent address (a state notice, a legal document, tax correspondence), a good registered agent service will:
This means as a non-resident, you stay fully informed about anything official happening with your LLC without ever needing a US address or presence yourself. The service itself runs in the background — its value shows up in the rare moment something important arrives, and in the ongoing fact that your LLC remains in good standing.
